U.S. BANK N.A. V. VILLAGE AT LAKERIDGE, LLC : CASE SUMMARY

The Supreme Court held in  U.S. Bank N.A. v. Village at Lakeridge, LLC 583 U.S. 153 (2018)  that the determination of non-statutory insider status is reviewed under the clear error standard, not de novo review.

FACTS OF THE CASE

Village at Lakeridge, LLC filed for Chapter 11 bankruptcy.  It owed about $10 million to U.S. Bank and $2.76 million to its owner, MBP Equity Partners.  To confirm a “cramdown” plan, Lakeridge needed acceptance from an impaired class of creditors that was not an insider. MBP, being the owner of Lakeridge, was an insider and could not provide the required vote. MBP sold its claim to Robert Rabkin, who had a romantic relationship with an MBP board member. U.S. Bank argued that Rabkin was a non-statutory insider, making his vote invalid.

ISSUE BEFORE THE SUPREME COURT

The issue before the Supreme Court was when a bankruptcy court decides whether a person is a non-statutory insider, should an appellate court review that determination de novo , or for clear error.

FINDINGS OF THE SUPREME COURT

The question involved a mixed question of law and fact.  The bankruptcy court had already found facts about the relationship between Rabkin and Bartlett and whether the transaction was conducted at arm’s length.  Such determinations are heavily fact-dependent. Trial courts are better positioned than appellate courts to evaluate these facts.

Therefore, appellate courts should defer to bankruptcy courts unless a clear error is shown.

The Supreme Court laid down the principle that a bankruptcy court’s determination that a creditor is or is not a non-statutory insider is reviewed for “clear error” when the issue primarily involves applying established legal standards to particular facts.

SIGNIFICANCE OF THE JUDGMENT

This opinion strengthened deference to bankruptcy court factual findings. It clarified appellate review standards in Chapter 11 cases.
